Conditions of Sale — Skyline Dealz

1. Who sells
Skyline Dealz (“we”) sells the goods on Skyline Dealz Marketplace as principal. These conditions apply to every offer, take-all and order you make. A deal listing may state extra or different terms; where it does, the listing wins for that deal.
2. Offers and acceptance
Your offer is binding on you until it expires or you withdraw it before we accept. When we accept (in the portal or in writing), the load is on hold for you and your Skyline contact follows up to complete the sale. A counter-offer from us is subject to availability.
3. As is, where is
Closeout, overstock, shelf-pull and returned goods are sold AS IS, WHERE IS, with all faults and without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose, except title. Photos, manifests and descriptions are a good-faith guide, not a guarantee of each item.
4. Manifest tolerance
Counts, SKUs, sizes and retail values on a manifest are estimates. A difference of up to 10% in unit count (or retail value) from the manifest is normal for this trade and is not a claim, unless the listing states a different tolerance. Retail (MSRP) figures are as stated by the source and are not a valuation.
5. Inspection and claims
Inspect the goods at pickup or delivery. Any claim (short count beyond the tolerance, wrong product, or goods materially different from the listing) must reach us in writing within 48 hours of pickup or delivery, with photos of the goods, pallets and labels. Keep the goods as received until we respond. Our liability for an accepted claim is limited, at our choice, to a credit, a partial refund, or taking the goods back for a refund; never more than the price paid for the affected goods. We are not liable for lost profits or indirect losses.
6. Payment terms
Payment terms are agreed with Skyline directly for each sale. Goods are released once the agreed terms are met.
7. Default
If you do not complete a purchase on the agreed terms or do not collect the goods, we may release the hold, cancel the sale and resell the goods. You remain liable for our resulting loss and storage costs.
8. Pickup and storage
Unless the listing or your Skyline contact says otherwise, collect the goods within 5 business days after the sale is completed, by appointment. After that, storage fees apply at the warehouse's rate (or our stated daily rate per pallet), and after 30 days we may treat the order as abandoned under section 7. You arrange and pay for freight unless we agree otherwise in writing.
9. Title and risk
Title and risk of loss pass to you when the goods are released to you or your carrier at the ship-from location (EXW / FCA ship-from, unless the listing states another Incoterm).
10. Taxes and duties
Prices exclude sales tax. If you buy for resale, you must give us a valid resale or exemption certificate for the ship-from state before release; otherwise we charge sales tax where it applies. An EIN alone is not a resale certificate.
11. Compliance and restrictions
You are responsible for complying with all laws on resale, labelling, product safety, import and export, sanctions and brand or channel restrictions. You must honour any restriction shown on a listing (for example no online resale, no Amazon, export only, or a region). We do not otherwise restrict where you resell, but brands may have their own rules and you are responsible for them. You confirm you are not a sanctioned or denied party.
12. Confidentiality
Deal information (prices, manifests, photos, brands) is confidential to approved members. Do not share it outside your company or contact the source or brand about a deal.
13. Governing law

14. Changes
